These Terms of Service ("Terms") govern your access to and use of nesterahealth.com (the "Site"), operated by Nestera Health, Inc. ("Nestera," "we," "us"). BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT ACCESS OR USE THE SITE.

These Terms cover the public website only. If your organization uses the Nestera platform under a commercial agreement, that use is governed by the Master Service Agreement and any Order Forms between your organization and Nestera, not by these Terms.

1. What this Site is

This Site is marketing and informational content about Nestera's hospital-at-home coordination platform. It's here to help you understand what Nestera does, see the platform, and get in touch — it is not itself the platform, and using the Site does not give you access to Nestera's software or any patient data.

2. Eligibility

This Site is intended for business audiences — health system leaders, clinicians, and other professionals evaluating Nestera's platform — and is not directed at children. You must be at least 18 years old to use this Site. If you are using this Site on behalf of an organization (for example, your employer), you represent that you have the authority to act on that organization's behalf, and "you" in these Terms refers to both you individually and that organization.

3. Electronic communications

By using this Site or emailing us, you consent to receive communications from us electronically. Any electronic communication we send you satisfies any legal requirement that such communication be in writing.

4. No real patient information on this Site

Every patient, clinician, visit, and message shown on this Site is invented for illustration. Names like "M.R." or "Sarah M.," the census rows, the map, and the call transcripts are fictional demonstration data, not real people or real events. Nothing on this Site is protected health information, and this Site is not a channel for sending us any — please don't email or submit real patient information through the Site. See our Privacy Policy for how we handle information you do send us.

5. No medical advice; not a patient-facing tool

Nothing on this Site is medical advice, and nothing here should be used to make a clinical decision about any real patient. This Site has no patient-facing functionality — it does not provide care, take patient inquiries, or connect anyone to a clinician. Nestera's platform is designed to support, not replace, the clinical judgment of the licensed professionals who use it, and that judgment always belongs to a person. If you have a medical emergency, call 911 or go to the nearest emergency room.

6. Acceptable use

When using the Site, you agree not to:

  • Attempt to gain unauthorized access to the Site, our systems, or any account or data;
  • Access or attempt to access the Site through any automated means, including scripts, bots, or web crawlers, or conduct any systematic data collection (scraping, data mining, or harvesting) without our express written consent;
  • Interfere with or disrupt the Site's operation, including through excessive requests or attacks on availability;
  • Introduce any virus, malware, or other technologically harmful material to the Site;
  • Use the Site to transmit spam, malware, or unlawful content;
  • Misrepresent your affiliation with Nestera or impersonate any person or entity;
  • Use the Site to submit real patient information or any protected health information.

7. Intellectual property

The Site, including its text, design, graphics, logos, and the Nestera name and marks, belongs to Nestera Health, Inc. or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, revocable license to view and share the Site's content for its intended informational purpose. You may not copy, modify, distribute, or create derivative works from it for commercial purposes, or remove any copyright or proprietary notices, without our prior written consent.

8. Third-party links and interactions

The Site may link to third-party sites or services (for example, our demo scheduling tool or LinkedIn page), and you may interact with third parties through the Site (a "Third-Party Interaction"). We don't control those sites or services and aren't responsible for their content, availability, security, or privacy practices — the third party's own terms and privacy policy govern that relationship, not these Terms. Visiting a linked site or engaging in a Third-Party Interaction is at your own discretion and risk.

9. Linking to this Site

You may link to the Site as long as you do so fairly and legally, in a way that does not suggest any endorsement of or affiliation with your organization without our written consent. You may not frame the Site or display it within another site.

10. International use

Nestera is based in the United States, and this Site is intended for visitors in the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with the laws of your own jurisdiction.

11. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T GUARANTEE THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON IT IS COMPLETE OR CURRENT.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NESTERA HEALTH, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SITE IS FREE MARKETING CONTENT WITH NO FEES PAID BY VISITORS, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE IS LIMITED TO $100.

13. Indemnification

You agree to indemnify and hold Nestera Health, Inc. harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

14. Dispute resolution and governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles, and any dispute arising from these Terms or the Site shall be resolved in the state or federal courts located in that state.

15. Changes to these Terms

We may update these Terms from time to time. If we make a change, we'll update the "Last updated" date at the top of this page before the change takes effect, and for material changes we may provide additional notice on the Site. Continued use of the Site after a change means you accept the updated Terms.

16. Termination

We may restrict or terminate your access to the Site at any time, for any reason, without notice, including if we believe you have violated these Terms.

17. Miscellaneous

These Terms are the entire agreement between you and Nestera regarding the Site and supersede any prior agreements about the Site. If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
